Policy on Board of Directors (BOD) Second Terms and Rollover

Effective Date: April 22, 2025 Approved By: Executive Committee (ExCo)

Purpose

This policy clarifies the organization’s approach to Board Directors (BODs) seeking a second term. It ensures transparent and consistent application of the nomination process in line with the organization’s bylaws.

  1. No Automatic Rollover

Board seats do not automatically roll over into a second term. Directors nearing the end of their term must be formally renominated if they wish to serve again.

  1. Nomination Process • Directors wishing to serve a second term must be nominated by the Executive Committee (ExCo), in accordance with the bylaws: “The Executive Committee shall nominate candidates for election to the Board.” • Past service does not guarantee renomination, though familiarity with the organization is valued.

  1. Term Limits (Per Bylaws) • Each term lasts three (3) years. • No Director may serve more than two consecutive terms. • A Director may serve a third (final) term only after a mandatory one-year break. • Maximum service limit: Nine (9) years total, regardless of term structure.

  1. Vacancies and Removals • Vacancies are filled by Board vote within 60 days, per bylaws. • Directors may be removed with or without cause by a ⅔ vote of the full Board.
