These Terms of Service and End User License Agreement (the "Terms") form a legal agreement between you and LipoShield ("LipoShield", "we", "us", "our") governing your use of the LipoShield mobile application (the "App").
By downloading, installing, or using the App, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not download, install, or use the App.
Eligibility. The App is intended for adults. You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use it. By using the App, you represent that you meet this requirement. The App is not directed to children, and we do not knowingly permit use by anyone under 18.
LipoShield is an educational and self-tracking wellness tool. It is not a medical device and does not provide medical advice, diagnosis, or treatment.
- The App does not diagnose, treat, cure, or prevent any disease or health condition, including any condition related to cholesterol, lipids, arterial plaque, or cardiovascular health.
- Content in the App — including recipes, fiber and habit tracking, lipid-tracking features, projections or simulators, supplement information, and any scientific or educational notes — is provided for general informational and educational purposes only. It is not a substitute for professional medical advice.
- Any projections, ratings, simulations, or estimates shown in the App are illustrative only. They are not a prediction of your personal health outcome and must not be relied on as one.
- Always consult a qualified healthcare provider before making decisions about your cholesterol, cardiovascular health, diet, exercise, supplements, medications, or any treatment. Never disregard or delay seeking professional medical advice because of something you have read or seen in the App.
- Using the App does not create a doctor-patient, clinician-patient, or any other professional healthcare relationship between you and LipoShield.
- If you think you may have a medical emergency, call your doctor or your local emergency services immediately.
- Supplement information in the App (where present) reflects general, editorial content and is not a personalized recommendation or a dosing instruction. Discuss any supplement — and any potential interaction with medications — with your clinician or pharmacist before use.
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use one copy of the App on a device that you own or control, for your own personal, non-commercial use.
This is a license, not a sale. We and our licensors retain all rights, title, and interest in and to the App. Your use of the App through the Apple App Store or Google Play is also subject to the applicable rules and terms of those stores.
The App offers an optional paid subscription, LipoShield Pro, which unlocks additional features. Use of the core App does not require a subscription.
Pricing. LipoShield Pro is offered on the following plans (prices in U.S. dollars; local pricing, currency, and taxes may vary by region and are shown at the point of purchase):
- Monthly: $9.99 per month
- Annual: $59.99 per year
Prices may change in the future; any change will apply only to subsequent billing periods and will be disclosed before it takes effect.
Billing through the app stores. LipoShield Pro is sold as an in-app purchase. Payment is charged to, and billing is handled by, your Apple App Store account or your Google Play account, depending on the platform you use. We do not collect or process your payment-card details; the applicable app store does.
Auto-renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price, unless you cancel at least 24 hours before the end of the current period. Your account will be charged for renewal within the window specified by the applicable app store.
How to cancel. You can cancel auto-renewal at any time by managing your subscription in your app store account settings:
- Apple: Settings → your name → Subscriptions.
- Google Play: Play Store → Profile → Payments & subscriptions → Subscriptions.
Cancellation takes effect at the end of the current billing period. After cancellation, you keep LipoShield Pro access until that period ends; it does not renew afterward.
Free trial (if offered). If a free trial is offered, its length and terms are shown at the point of purchase. Unless you cancel before the trial ends, the subscription converts to a paid plan and you will be charged the applicable price. Any unused portion of a free trial is forfeited when you purchase a subscription.
Refunds. All purchases are processed by the app stores, and refunds are governed by the policies of the Apple App Store and Google Play. Except where refunds are required by those store policies or by applicable law, payments are non-refundable, and partial billing periods are not refunded. Please direct refund requests to the applicable app store.
The App's Smart Cart feature, and possibly other parts of the App, may include affiliate links to third-party products, supplements, foods, or retailers.
If you click an affiliate link and make a purchase, LipoShield may earn a commission or referral fee from the retailer, at no additional cost to you. This is a way we support the App.
Affiliate relationships do not change the price you pay, and they do not constitute a medical recommendation or an endorsement that any product is right for you. Third-party products, prices, availability, and the terms of any purchase are the responsibility of the third-party retailer, not LipoShield. We are not responsible for third-party websites, products, or services, and your transactions with them are solely between you and the retailer.
You agree to use the App lawfully and only as intended. You agree not to:
- copy, modify, translate, reverse engineer, decompile, or disassemble the App, or attempt to derive its source code, except where applicable law expressly permits;
- rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the App or your license to it;
- circumvent, disable, or interfere with security, licensing, or subscription features, or attempt to access paid features without paying;
- use the App to violate any law or the rights of others, or to upload or transmit malicious code;
- use the App in any way that could damage, disable, overburden, or impair it.
The App and all of its content — including software, text, graphics, logos, icons, designs, recipes, editorial content, and the "LipoShield" and "LipoShield Pro" names — are owned by LipoShield or its licensors and are protected by intellectual property laws. These Terms do not grant you any rights in our trademarks, logos, or other brand features. All rights not expressly granted to you are reserved.
The App is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising from course of dealing or usage of trade.
We do not warrant that the App will be uninterrupted, error-free, secure, or available at all times, that defects will be corrected, or that any information, projection, rating, or content in the App is accurate, complete, current, or suitable for your circumstances. You use the App, and rely on any of its content, at your own risk.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
To the fullest extent permitted by law, LipoShield and its owners, employees, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or health outcomes, arising out of or relating to your use of (or inability to use) the App or any content in it, whether based on contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability for all claims relating to the App will not exceed the greater of (a) the amount you paid us for the App or LipoShield Pro in the 12 months before the event giving rise to the claim, or (b) USD $50.
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
We may update these Terms as the App evolves. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice within the App or through the app store listing. Changes take effect when posted. Your continued use of the App after an update means you accept the revised Terms. If you do not agree to the revised Terms, you should stop using the App.
These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. You and LipoShield agree that any dispute arising out of or relating to these Terms or the App will be subject to the exclusive jurisdiction of the courts located in the State of New York, United States, except where applicable law gives you the right to bring proceedings elsewhere. Your statutory consumer rights are not affected.
