Artalytics Contributor Assignment Agreement

Thank you for contributing to Artalytics Inc. By submitting any Contribution (as defined below), you agree to these terms:

1. Definitions

• “Contribution” means any original work of authorship, including modifications or additions to an existing work, that you intentionally submit to Artalytics Inc. via pull request, issue, or other communication.
• “You” or “Your” means the individual or entity making the Contribution.

2. Assignment of Rights

You hereby irrevocably assign, convey, and transfer to Artalytics Inc. (“Company”) all right, title and interest worldwide in and to your Contribution, including all copyrights, patents, and other intellectual-property rights therein.

3. License to Company (Fallback)

To the extent any portion of Section 2 is unenforceable under applicable law, you grant the Company a perpetual, worldwide, royalty-free, irrevocable license to use, reproduce, prepare derivative works of, publicly display, publicly perform, sublicense and distribute your Contribution without restriction.

4. Representations and Warranties

You represent and warrant that:

1. Your Contribution is an original work and you have full authority to assign the rights described above;
2. Your Contribution does not infringe any third party’s rights;
3. You have complied with Artalytics Inc.’s Trademark and Patent Policy.If you have a specific URL or text for your Trademark and Patent Policy, you can insert it here.)*

YOUR CONTRIBUTION IS PROVIDED “AS IS,” WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED.
