Preamble

This license permits the use, modification, and distribution of the software for non-commercial purposes, safeguarding commercial use and ensuring attribution.

1. Definitions

  • "Software": All contents of this repository, including source code, binaries, documentation, and any derivative works.
  • "Commercial Use": Any use of the Software for direct financial gain, including selling, leasing, or providing services for a fee.

2. Grant of Rights

You are granted a non-exclusive, royalty-free, worldwide license to:

  • Use: Employ the Software for personal or non-commercial purposes.
  • Modify: Alter or amend the Software.
  • Distribute: Share the Software or modifications for non-commercial purposes, provided you:
    • Include this license in all copies.
    • Indicate changes made to the original Software.

3. Restrictions

5. Governing Principles

Interpretation under the UNIDROIT Principles of International Commercial Contracts (UPICC). Resolve disputes in good faith if UPICC guidance is absent.

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, TITLE, NON- INFRINGEMENT. LIABILITY FOR DAMAGES FROM SOFTWARE USE IS EXCLUDED.

7. Termination

License terminates on breach. Sections 4, 5, 6, and 7 survive termination.

8. Dispute Resolution

Disputes will be resolved through:

  • Negotiation: Attempt resolution through good faith talks.
  • Mediation: If negotiation fails, mediate under ICC rules.
  • Arbitration: Arbitration under ICC Rules, in Geneva, in English if mediation fails.

9. Acceptance

Using, copying, modifying, or distributing the Software implies acceptance of this License. If you disagree, do not use the Software.
