 D.D.O. F/X and the Locatha Industries Logo (the Red Double Bladed Scythe)
 are Trademarks of Locatha Industries, Incorporated.  All other trademarks
 are the property of their respective owners.  Their use in this document
 does not constitute an attempt by Locatha Industries, Inc. to claim those
 Trademarks or specifically endorse them.

 Although this document expressly defines D.D.O. F/X, it  does  not  in any
 way diminish the right of ownership of D.D.O. F/X by Locatha Industries
 Incorporated.   Locatha Industries Incorporated alone reserves the right to
 license and approve the use of D.D.O. F/X to any entity, whether it be for
 Private, Commercial, or Industrial use.   We also reserve the right to
 prohibit  the use of D.D.O. F/X to any entity  for any  reason we  see  fit.
 If you intend to add D.D.O. F/X support to any product for any purpose, you
 must first agree to the terms of the licensing agreement listed below.

 DISCLAIMER

 USE OF THE D.D.O. F/X LANGUAGE IS SUBJECT TO THE TERMS OF THIS LICENSING
 AGREEMENT.  YOU SHOULD  CAREFULLY READ THE  FOLLOWING LICENSE WHICH
 DESCRIBES THE TERMS, CONDITIONS, AND LIMITED WARRANTY EXPRESSLY AND
 PRECISELY.  IF YOU DO NOT AGREE WITH THE TERMS SET BELOW YOU SHOULD
 DISCONTINUE USE OF THE D.D.O. F/X LANGUAGE.  DO NOT! USE THE D.D.O. F/X
 LANGUAGE UNLESS YOU AGREE TO BE  BOUND BY THE  TERMS OF THIS LICENSING
 AGREEMENT.


 LICENSE

 Conditions:
 This license governs two distinct and separate Levels of using
 D.D.O. F/X: (APPLICATION LEVEL and DEVELOPER LEVEL).

 APPLICATION LEVEL:  Application level uses of D.D.O. F/X include the
 following:

    . A program capable of transmitting D.D.O. F/X script commands
      electronically via any existing device to LITERM-F/X, and
      in addition has the capability of receiving and understanding
      any return transmissions which result from above mentioned
      script commands.  An Application Level Program is NOT an
      interpreter of D.D.O. F/X.  It is capable only of transmitting
      D.D.O. F/X commands and receiving data back from those
      commands and understanding how to process what is produced
      as a transmission from the sending of those commands.  Any
      interpretation of D.D.O. F/X commands directly by a D.D.O. F/X
      Application Level program would be in violation of this
      license agreement.

    . A BBS (Bulletin Board System) would be an example of an Application
      Level program. Following the description above.

    . A BBS Door (program executed as a child process of a BBS) would be
      an example of an Application Level Program.  Following the description
      above.


 DEVELOPER LEVEL: Developer level uses of D.D.O. F/X include the
 following:

    . A program capable of interpreting D.D.O. F/X script commands
      directly and performing some function based on those D.D.O. F/X
      script commands.   If a program has the ability to accept a
      D.D.O. F/X command by any means and perform an action based on
      that command it must adhere to this License Agreement and thus
      be identified as a Developer Level program.

    . A TERMINAL PROGRAM (Fulfilling a similar Roll as LITERM-F/X) would
      be an example of a Developer Level program.  Following the description
      above.

    . A Designer program (Such as a Painting program, or Layout program)
      would be an example of a Developer Level program.  Following the
      description above.


 If you believe your program to be in doubt as to which LEVEL it falls
 under, you may contact the offices of Locatha Industries, Inc. and we
 would be more than happy to clarify it for you.

 APPLICATION LEVEL:  If your program falls within the Application Level
 of this License agreement you are not required to register your product
 and your company as a developer for Locatha Industries Inc.  You are free
 to take Full advantage (Royalty free) of the D.D.O. F/X language so long
 as your product does not conflict with Application Level requirements.
 Your are granted the limited right to advertise your product as a D.D.O. F/X
 compliant product.  However, you may not make any claims to ownership of
 the D.D.O. F/X Trademark.  Within the Identification portions of your
 programs documentation, Locatha Industries Incorporated MUST be giving
 proper identification as the sole owner of the D.D.O. F/X trademark
 and all rights reserved.  Failure to include the Copyright notice of
 D.D.O. F/X within your programs documentation will render your program
 in violation of this License Agreement.  Below is what should be included
 within your programs Documentation.

 DEVELOPER LEVEL:  If your program falls within the Developer level of
 this License Agreement you are required to register both the product
 and your company (or Individual) as a Developer for Locatha Industries,
 Inc.  We would Urge you to submit your application for Developer status
 before production of your product.  We do not guarantee that all submissions
 will become a developer or be granted Developer License.  Submissions must
 be made in writing and sent Via FAX or Postal Service.  We will not accept
 electronic mail submissions.  Submissions will be dealt with on an entry by
 entry basis.  You must first receive in writing from Locatha Industries
 Incorporated verification of acceptance as a registered Developer of Locatha
 Industries, Inc. before you may release any Developer Level program.  To
 make available to the public a Developer Level product for any reason
 without first obtaining prior written permission to do so, or without
 having received acceptance as a registered Developer of Locatha Industries,
 Inc. will constitute a violation of this License Agreement.  Once you have
 been verified as a Developer of Locatha Industries, Inc.  You will be
 bound by a separate contract which will define the conditions of your
 Developer License.


 Term:
 This license, once obtained  through  registration as  described above, is
 effective until terminated.  You  may  terminate it at any time by sending
 expressed written  intent  to  terminate  the license agreement to Locatha
 Industries, Inc.   Whereby you will immediately discontinue any use of the
 D.D.O. F/X language.    Also,  any products manufactured using D.D.O. F/X
 during the licensing period may NOT be upgraded or enhanced with future
 versions of D.D.O. F/X beyond the termination date of the License.  If you
 have obtained a Commercial or Industrial license then any agreed upon
 payments to Locatha Industries, Inc.  for the  creation  of  products  will
 still be required for the life of said product after termination of above
 license.

 Limited Warranty:

 D.D.O. F/X LANGUAGE IS PROVIDED AS IS, WITHOUT WARRANTY OF ANY KIND, EITHER
 EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES
 OF MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.   THE ENTIRE RISK
 AS TO  THE  QUALITY AND  PERFORMANCE  OF  D.D.O. F/X  LANGUAGE  IS WITH YOU.
 SHOULD THE D.D.O. F/X LANGUAGE PROVE DEFECTIVE, YOU (NOT LOCATHA INDUSTRIES,
 INCORPORATED) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR
 CORRECTION.

 Locatha Industries, Inc. does not warrant that the functions contained
 within D.D.O. F/X will meet your requirements or that the operation of this
 language will be uninterrupted or error-free.

 IN NO EVENT  WILL  LOCATHA  INDUSTRIES,  INC.  BE  LIABLE  TO YOU FOR ANY
 DAMAGES, INCLUDING ANY  LOST PROFITS, LOST SAVINGS OR OTHER INCIDENTAL OR
 CONSEQUENTIAL  DAMAGES  ARISING OUT OF THE USE,  MISUSE, OR INABILITY TO
 USE  THE  D.D.O. F/X  LANGUAGE  EVEN  IF  LOCATHA INDUSTRIES, INC. OR ITS
 AUTHORIZED REPRESENTATIVES  HAVE BEEN  ADVISED OF THE POSSIBILITY OF SUCH
 DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.

 BY USING THE D.D.O. F/X LANGUAGE YOU ACKNOWLEDGE THAT YOU HAVE READ THIS
 AGREEMENT,  UNDERSTAND  IT,  AND AGREE  TO  BE  BOUND  BY ITS TERMS  AND
 CONDITIONS. YOU FURTHER  AGREE  THAT  IT  IS THE COMPLETE AND  EXCLUSIVE
 STATEMENT OF THE  AGREEMENT  BETWEEN  US,  WHICH SUPERSEDES ANY PROPOSAL
 OR  PRIOR  AGREEMENT, ORAL  OR  WRITTEN, AND  ANY  OTHER  COMMUNICATIONS
 BETWEEN US RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
