Schrödinger's Non-Commercial License (SNCL) v1.0
Preamble:
This license is designed to allow users to freely use, modify, and distribute the software for non-commercial purposes. It recognizes the challenges in defining what constitutes commercial activity and offers guidance and flexibility for users who are unsure about the nature of their activities.
1. Grant of License
Subject to the terms and conditions of this License, the Licensor hereby grants to the Licensee a worldwide, royalty-free, non-exclusive license to use, modify, and distribute the Software, provided that such activities are conducted for Non-Commercial Purposes, as defined below.
2. Definitions
- "Software" refers to the program and associated documentation files.
- "Licensor" refers to the individual or entity granting this License.
- "Licensee" refers to the individual or entity receiving the rights under this License.
- "Non-Commercial Purposes" means use of the Software that is not intended to generate direct or indirect revenue or otherwise support commercial activities.
3. Clarification of Non-Commercial Purposes
To assist Licensees in determining whether their use is non-commercial, the following guidelines are provided:
3.1 Research and Education: Use in academic or non-profit research, teaching, or public demonstrations is typically considered non-commercial.
3.2 Personal Projects: Use for personal projects, hobbies, or experimentation without direct or indirect financial gain is non-commercial.
3.3 Uncertainty Clause: In cases where the Licensee is unsure whether their activity constitutes a commercial use, the Licensee may proceed with their activity under the assumption it is non-commercial, provided they:
- (a) Document their reasoning for believing the use to be non-commercial;
- (b) Notify the Licensor of their intended use and uncertainty;
- (c) Cease the activity or obtain explicit permission from the Licensor if requested.
4. Limitations
This License does not grant permission to:
- Use the Software as part of a commercial product or service.
- Distribute the Software for commercial gain.
5. Disclaimer of Warranty
The Software is provided "as is," without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and noninfringement.
6. Limitation of Liability
In no event shall the Licensor be liable for any claim, damages, or other liability, whether in an action of contract, tort, or otherwise, arising from, out of, or in connection with the Software or the use or other dealings in the Software.
7. Termination
This License is effective until terminated. The Licensee's rights under this License will terminate automatically without notice from the Licensor if the Licensee fails to comply with any term(s) of this License. Upon termination, the Licensee must cease all use, distribution, and modification of the Software.
